Agreement To Our Legal Terms

We are Obbema Labs, doing business as WelcomeMAT("Company", "we", "us", "our"), a company registered in Canada at 271 Oak Bluffs Rd, Maberly, Ontario K0H 2B0.

We operate the website https://getwelcomemat.ca (the "Site"), as well as the related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

WelcomeMAT is a compliance platform for Ontario short-term rental hosts. We track Municipal Accommodation Tax (MAT) obligations, surface short-term rental bylaws and licensing deadlines from Ontario municipalities, ingest booking data via iCal and Google Calendar, track host expenses for CRA reporting, and generate remittance reports.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Obbema Labs, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree, you must discontinue use immediately.

We will provide notice of material changes by email or in-app notice. The Services are intended for users at least 18 years old.

1. Our Services

The information provided when using the Services is not intended for distribution to or use by any person in any jurisdiction where such use would be contrary to law. The Services are designed for Ontario, Canada. Users accessing the Services from other locations do so on their own initiative and are responsible for compliance with local laws.

WelcomeMAT is a compliance support tool. We surface publicly-available bylaw and Municipal Accommodation Tax information to help you stay organised. We are not a law firm, not a tax advisor, and not your municipality. You remain responsible for confirming requirements with your municipality and the CRA, and for filing returns on time.

2. Intellectual Property Rights

We own or license all source code, databases, functionality, software, designs, and graphics in the Services (the "Content"), and the WelcomeMAT name, logo, and marks. We grant you a non-exclusive, non-transferable, revocable licence to access and use the Services for your personal or internal business purposes.

Bylaw text and Municipal Accommodation Tax rates are sourced from public municipal records and remain the property of the respective municipalities. Our compilation, classification, and presentation of that data are ours.

3. User Representations

By using the Services, you represent and warrant that:

  • You have the legal capacity to agree to these Legal Terms;
  • You are at least 18 years old;
  • You will not access the Services through automated means except via permitted APIs;
  • You will not use the Services for any illegal purpose;
  • Your use will not violate any applicable law or regulation;
  • The information you provide (property addresses, bookings, expenses) is accurate.

4. User Registration

You must register to use most features. You are responsible for keeping your password confidential and for all activity under your account. We may suspend or terminate accounts that violate these Terms.

5. Purchases and Payment

Payments are processed by Paddle, which acts as the merchant of record for all WelcomeMAT subscriptions. Paddle handles checkout, tax calculation, and refunds on our behalf. Your bank or card statement will show a charge from Paddle alongside the WelcomeMAT name. We accept payment through Paddle, including:

  • Visa, Mastercard, American Express, Discover;
  • Apple Pay, Google Pay;
  • Debit cards (where supported).

All prices are in Canadian dollars (CAD) unless stated otherwise. Applicable taxes (HST) will be added at checkout. You authorize us to charge your payment method for all amounts due.

6. Subscriptions

Billing and Renewal

Subscriptions renew automatically on a monthly or annual basis until cancelled. By subscribing, you authorize us to charge your payment method on each renewal date.

Cancellation

You can cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods except where required by law.

Fee Changes

We may change subscription fees at any time. Any change applies at the start of the next billing cycle, and we will give you at least 30 days' notice.

7. Prohibited Activities

You agree not to:

  • Use the Services in a way that breaches applicable laws or regulations;
  • Scrape, harvest, or extract data from the Services using automated means;
  • Reverse engineer, decompile, or attempt to derive source code;
  • Interfere with security features or use the Services to transmit malware;
  • Resell, sublicense, or commercially exploit the Services without our consent;
  • Impersonate another user, or use another user's account;
  • Submit false or misleading property or booking information for tax purposes;
  • Use the Services to harass, defame, or harm others.

8. User Contributions

The Services may let you submit content — property descriptions, notes, uploaded documents ("Contributions"). You retain ownership of your Contributions. You grant us a licence to host, store, process, and display them as needed to provide the Services. You represent your Contributions do not infringe third-party rights and are not illegal, false, or misleading.

9. Third-Party Websites and Content

The Services may link to third-party sites (Airbnb, VRBO, municipal websites, CRA, etc.) and include third-party content. We do not endorse, control, or accept responsibility for those sites or content.

10. Services Management

We reserve the right to monitor the Services for violations, take legal action against violators, refuse or restrict access, and remove content that we determine in our reasonable judgment is harmful or violates these Terms.

11. Privacy Policy

We care about data privacy. Please review our Privacy Policy. By using the Services, you agree to be bound by it.

12. Term and Termination

These Terms remain in effect while you use the Services. We may suspend or terminate your access at any time, without notice, for any reason — including breach of these Terms. You may terminate by deleting your account.

13. Modifications and Interruptions

We reserve the right to change, modify, or remove the Services at any time. We are not liable for any modification, suspension, or discontinuation of the Services. We do not guarantee uninterrupted availability.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles.

15. Dispute Resolution

Any dispute will first be addressed by informal negotiation. If unresolved, disputes will be brought in the courts of the Province of Ontario, and you consent to their exclusive jurisdiction.

16. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SEE OUR Disclaimer for details about the accuracy of bylaw and tax data.

17. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OBBEMA LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES — INCLUDING LOST PROFITS, MISSED FILING DEADLINES, PENALTIES, OR INTEREST IMPOSED BY A MUNICIPALITY OR THE CRA — ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR CAD $100, WHICHEVER IS GREATER.

18. Indemnification

You agree to indemnify and hold us harmless from any claim arising from your use of the Services, your Contributions, your breach of these Terms, or your violation of any third-party right or applicable law.

19. User Data

You retain ownership of the data you submit. We maintain reasonable backups but are not responsible for any loss or corruption of data. You are responsible for keeping your own copies of important records (including remittance reports).

20. Electronic Communications

By using the Services you consent to receive electronic communications from us and agree that electronic notices, agreements, and records satisfy any legal requirement that such communications be in writing.

21. Miscellaneous

These Terms and any policies we post constitute the entire agreement. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent.
